Terms of Service

Last updated: May 31, 2026

1. Agreement to Terms

By accessing or using Clocsy, you agree to these Terms of Service ("Terms"). Clocsy is operated by Nwudu Inc, a corporation incorporated in Maryland, United States, with branch operations through MustKnack Digital & Internet Services (Lagos, Nigeria) and Black Elite Marketing & Events (Sheikh Zayed Road, Dubai).

If you use Clocsy on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you must stop using the Platform.

2. Eligibility and Account Responsibility

  • You must be at least 18 years old and capable of entering into a binding agreement.
  • You must provide accurate account, billing, sender, and business information.
  • You are responsible for activity under your account and workspaces.
  • You must protect your credentials and notify us at security@clocsy.com if you suspect unauthorized access.
  • We may suspend or terminate accounts that violate these Terms, create risk, abuse infrastructure, or fail payment obligations.

3. The Clocsy Platform

Clocsy provides business growth and sales infrastructure, including:

  • Clocsy Sales Engine: autonomous B2B sourcing, enrichment, email verification, drafting, queueing, sending, follow-up, reply handling, and engine-health monitoring.
  • Brand and Product Intelligence: analysis of your website, product details, approved facts, buyer profile, and message tone.
  • Managed Infrastructure: account-specific jobs, queues, logs, managed senders, and AWS infrastructure that Clocsy may provision or operate on your behalf.
  • Marketplace and RFPQ Features: workflows that let buyers and sellers submit opportunities, offers, or briefs where enabled.
  • SDK, Analytics, Wallet, Payout, and Affiliate Features: additional tools for attribution, campaigns, subscriptions, and payments where enabled.

4. Sales Engine Operation

The Sales Engine is designed to help active accounts identify relevant business buyers, prepare first-touch drafts, send within configured limits and windows, manage replies, and follow up. The engine may run background jobs without requiring you to manually approve every internal step unless your settings or plan require approval.

  • Lead sourcing, enrichment, drafting, queueing, dispatch, follow-up, and replacement are controlled by engine state, plan limits, sender readiness, suppression rules, and compliance controls.
  • The engine may generate drafts based on your seller profile, product details, message tone, target buyer profile, public business data, and third-party data providers.
  • The engine may replace invalid, suppressed, duplicate, risky, or unusable contacts with fresh qualified buyers where your plan allows.
  • We may update engine logic to improve reliability, compliance, deliverability, cost control, abuse prevention, and product quality.

Clocsy does not guarantee that every sourced lead will be reachable, that every message will be delivered, or that outreach will produce a specific business result.

5. Managed AWS and Account Infrastructure

For certain accounts, Clocsy may provision, manage, or operate account-specific infrastructure, including AWS EC2 instances, databases, queues, workers, logs, sender services, or related resources. Unless a separate written agreement says otherwise, this infrastructure remains controlled by Clocsy and is provided only to operate the Platform.

  • You do not receive ownership of Clocsy-managed infrastructure.
  • We may start, stop, restart, migrate, replace, or remove infrastructure to maintain reliability, security, or cost control.
  • You may not attempt to access infrastructure directly unless we expressly authorize it.
  • Infrastructure logs may be used for security, debugging, support, compliance, and reliability.

6. Outreach, Anti-Spam, and Compliance Rules

Clocsy is not built for spam. You may not use Clocsy for deceptive, unlawful, irrelevant, abusive, or bulk-blast outreach. You are responsible for making sure your use of the Platform complies with laws that apply to your business, audience, message content, sender identity, and jurisdiction.

  • You must not send or attempt to send illegal, fraudulent, deceptive, defamatory, harassing, discriminatory, or harmful messages.
  • You must not use Clocsy to contact consumers where lawful consent or another valid legal basis is required and missing.
  • You must not upload or instruct Clocsy to use unlawfully obtained contact data.
  • You must not remove, bypass, obscure, or interfere with unsubscribe, opt-out, suppression, bounce, duplicate-recipient, or sender-safety controls.
  • You must honor opt-outs, suppression lists, do-not-contact requests, and applicable anti-spam laws.
  • You must not use misleading sender identities, fake companies, false claims, fake urgency, or unsupported guarantees.

We may block, pause, throttle, review, or terminate sending if we believe your account creates legal, deliverability, abuse, reputational, infrastructure, or safety risk.

7. Your Responsibility for Content and Lawful Basis

Clocsy can assist with relevance, suppression, opt-outs, sender windows, verification, and controlled sending, but it cannot determine every legal obligation for every jurisdiction or campaign. You are responsible for:

  • Your lawful basis for outreach.
  • Your product claims, pricing, guarantees, regulated-industry statements, and message approvals.
  • Your target buyer profile, prohibited audiences, restricted territories, and campaign settings.
  • Your connected sender accounts, domain reputation, and compliance with provider terms.
  • Reviewing AI-generated drafts where manual review is required or where your industry requires heightened oversight.

8. AI-Generated Content and Automated Decisions

  • AI-generated drafts, insights, classifications, support responses, and recommendations are outputs of automated systems and may contain mistakes.
  • You must verify important factual, legal, financial, medical, regulated, or sensitive claims before use.
  • Message tone settings control style and structure but do not override factuality, compliance, opt-out, suppression, sender safety, or approved-facts rules.
  • We may use automated systems to classify replies, detect opt-outs, identify stuck engine states, block unsafe sends, or recommend support actions.

9. Subscriptions, Trials, Billing, and Quotas

  • Plan features, quotas, pricing, and billing cycles are shown on the Platform or in your order flow.
  • Free trials and promotional passes provide access only for the stated period and may be limited to eligible users or accounts.
  • Paid Sales Engine quotas apply to first-touch outreach as described in the product and plan terms. Follow-ups, replies, and infrastructure operations may be treated separately depending on the plan.
  • Work-Faster, boost, or add-on packages may increase sourcing or sending capacity subject to product rules and safety controls.
  • We may refuse, reverse, or suspend promotional access, trial access, or credits obtained through abuse, duplicate accounts, or fraud.

Payment processors may include Flutterwave, PayPal, Stripe, or other providers. By making or receiving a payment, you also agree to the relevant provider terms. We do not store full card or bank credentials on our own servers.

10. Marketplace, RFPQ, Wallet, and Affiliate Features

Where marketplace, RFPQ, wallet, payout, CPA, or affiliate features are available, you must use them honestly and lawfully. We may reject, reverse, or withhold payouts for fraud, fake conversions, duplicate accounts, manipulated traffic, spam submissions, invalid briefs, chargebacks, or policy violations.

Funds, fees, refunds, escrow, and payout timing may be governed by additional product terms shown in the relevant flow or agreed in writing.

11. Data Rights and Account Deletion

You may request access, correction, export, or deletion of account data as described in our Privacy Policy. Account deletion disables active sending and future engine activity. We may retain limited records required for legal, accounting, security, dispute, suppression, opt-out, or compliance purposes.

Deleting an account does not require us to delete minimal suppression records that are needed to prevent future unwanted contact.

12. Your Content and Platform IP

12.1 Your Content

You retain ownership of content, product details, seller profile data, brand assets, message samples, and other materials you provide. You grant Clocsy a limited license to process that content to provide, secure, support, and improve the Platform.

12.2 AI Outputs

Subject to these Terms and applicable law, you may use AI-generated drafts and outputs created for your account for your business. Clocsy does not guarantee originality, protectability, deliverability, accuracy, or performance of AI-generated outputs.

12.3 Clocsy IP

The Platform, engine architecture, software, workflows, UI, documentation, brand, models, prompts, source code, infrastructure, and internal processes are owned by Clocsy or its licensors. You may not copy, reverse engineer, scrape, resell, or bypass the Platform.

13. Public Company Pages and Followed Companies

Clocsy may create public company pages or store followed-company preferences to help users discover, track, or receive opportunities. You can manage public listing settings where controls are available. You must not submit false company records, impersonate a company, or misuse followed-company features.

14. Acceptable Use

You agree not to:

  • Violate law, regulation, third-party rights, platform rules, or provider terms.
  • Use Clocsy for spam, deceptive outreach, phishing, malware, scams, harassment, hate, adult exploitation, illegal goods, or regulated activity without proper authorization.
  • Bypass compliance, safety, sender, suppression, unsubscribe, duplicate-recipient, rate-limit, or quota controls.
  • Upload illegal, stolen, scraped, or improperly obtained data.
  • Create fake accounts, impersonate others, manipulate subscriptions or trials, or abuse promotional credits.
  • Attempt to overload, disrupt, scan, reverse engineer, or gain unauthorized access to the Platform or infrastructure.
  • Misrepresent Clocsy as guaranteeing legal compliance, revenue, deliverability, meetings, sales, or buyer intent.

15. Service Availability and Changes

Clocsy is provided on an "AS IS" and "AS AVAILABLE" basis. We may modify, pause, improve, remove, or replace features, providers, data sources, infrastructure, quotas, or engine behavior. We will try to avoid unnecessary disruption, but we do not guarantee uninterrupted service.

16. Suspension and Termination

We may suspend, throttle, review, or terminate your account if:

  • You violate these Terms or applicable law.
  • Your account creates security, deliverability, abuse, legal, infrastructure, or reputational risk.
  • You fail to pay required fees.
  • You abuse trials, promotions, credits, senders, data sources, or platform resources.
  • A provider requires us to disable or limit access.

You may stop using Clocsy or request account deletion at any time. Certain obligations survive termination, including payment obligations, IP protections, confidentiality, limitations of liability, indemnity, and retained compliance records.

17. No Legal, Financial, or Professional Advice

Clocsy may provide compliance-oriented tools, support responses, safety controls, and drafting guidance, but it does not provide legal, financial, tax, medical, or other professional advice. You should consult qualified professionals for advice specific to your business and jurisdiction.

18. Disclaimers

  • We do not guarantee revenue, meetings, conversions, replies, inbox placement, deliverability, buyer intent, or a specific business outcome.
  • We do not guarantee that third-party data is complete, current, or error-free.
  • We do not guarantee that AI outputs are accurate, lawful for your use case, or free from errors.
  • We are not responsible for failures caused by third-party providers, sender accounts, DNS, payment processors, cloud providers, email providers, or customer-provided data.

19. Limitation of Liability

To the maximum extent permitted by law:

  • Clocsy and Nwudu Inc will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
  • We will not be liable for lost profits, lost revenue, lost data, loss of goodwill, business interruption, sender reputation loss, or third-party provider failures.
  • Our total liability for any claim related to the Platform will not exceed the amount you paid to Clocsy in the 12 months before the event giving rise to the claim, or USD $100 if you paid nothing.

20. Indemnification

You agree to indemnify, defend, and hold harmless Nwudu Inc, its officers, directors, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, costs, and expenses arising from your use of Clocsy, your data, your outreach, your content, your violation of these Terms, your violation of law, or your infringement of third-party rights.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict-of-law principles. Disputes must first be addressed through good-faith negotiation. If unresolved, disputes will be resolved through binding arbitration in Maryland unless applicable law requires otherwise.

22. Changes to Terms

We may update these Terms as the product, law, or our providers change. Material changes will be communicated through the Platform, email, or another reasonable notice. Continued use after the effective date means you accept the updated Terms.
